BAKER & MCKENZIE advised the shareholders of the Oceanis Group on its sale to the MFS Living and Leisure group for more than $150 million.
MFS was represented by Deacons in the acquisition.
Oceanis Group is one of the largest aquarium owners and operators, with aquariums in Australia, South Korea, China and Thailand.
Bakers’ lead partners on the deal were Hamish Walton and Bruce Webb. The global nature of Oceanis meant they had to “obtain relevant consents to facilitate transfer of the aquarium business in a number of jurisdictions”, said Walton.
“Our team had to negotiate a very complex suite of documents in an extremely short timeframe.”
Following the acquisition, MFS completed a management restructure of Oceanis, which included the appointment of former Disney Asia-Pacific Regional Director, Special Events Group, Rob Taranto and former brewing marketing executive, Julie Cullen.
MFS Living and Leisure Group is a stapled group comprising the MFS Living and Leisure Trust and MFS Living and Leisure Limited. As well as Oceanis, the company also owns Australian Alpine Enterprises Holdings Pty Ltd.
In December, MFS Living and Leisure also announced it had bought Otway Fly tree-top walk in Victoria for $14.75 million, with finalisation of the deal due in July this year.
