Established in 2006, Company Matters is the largest team of governance professionals in Australia. When clients engage us, they will receive the benefit from approximately 250 years’ cumulative experience across our 14 practitioners.
In 2016, our practitioners attended over 500 Board Meetings and over 200 Board Committee Meetings. We assisted clients both within Australia and with matters across the globe, including in emerging markets. We were involved with over 50 shareholder meetings and more than 15 secondary capital raisings and we implemented over 20 equity incentive plans. We also assisted 9 clients navigate their first year as listed entities. Our aggregate CV includes time spent at the ‘coal-face’ in-house at numerous S&P/ASX 50 entities as well as top tier legal and advisory firms.
Company Matters was established to bridge the gap between the limited company secretarial service providers and M&A focused corporate law firms. With offices in Sydney and Brisbane, Company Matters’ specialised service offering is unique – focusing on prevailing governance and company secretarial matters within a boutique law firm structure. Company Matters’ assists approximately 300 clients per annum across a range of capacities from statutory company secretary, independent governance consultant, external counsel and chief financial officer.

About the role
The General Manager will assist to lead our growing team, currently consisting of 14 practitioners, ranging from senior, mid-tier and corporate administrator level.
Your success will stem from prior experience working with the Boards and senior executives of ASX listed companies, your ability to lead by example and partner with our clients and work closely with other advisers and regulators in a collaborative way that results in the best outcomes for our clients.
• Provide technically correct, practical and commercial advice in relation to the ASX Listing Rules, the Corporations Act and general governance advice and market practice • Attend Board and Committee meetings • Liaise with regulators on behalf of clients • Attend to annual reporting requirements, drafting notices of meetings and managing member meetings • Corporate action project management • Advise on and designing employee equity plans • In conjunction with the Company Matters, Director, manage the Company Matters team, including management of financial and staff performance, workflow and resourcing
• 10+ years in-house experience in a top tier law firm and/or in an ASX listed legal/company secretarial role • Admitted as a solicitor in the Supreme Court, New South Wales • Excellent technical skills in working with the ASX Listing Rules (especially with continuous disclosure matters) and the Corporations Act • Prior employee equity plan experience would be viewed positively • Experience managing a team and financial performance • Ability to prioritise, work well under pressure and exercise independent judgment • Meticulous attention to detail • Demonstrate commitment to delivering results through drive and effective teamwork
