Norton Rose LLP has advised Jefferies International, a full-service investment bank and institutional securities firm, on a 140 million pounds (AUD$280m) share offering.

International legal practice Norton Rose LLP has advised Jefferies International, a full-service investment bank and institutional securities firm, on its 140 million pounds (AUD$280m) share offering. 

The London firm oversaw the combined placing and open offer of ordinary shares, zero dividend preference share (ZDP) “roll-over” and new ZDP share issue by JZ Capital Partners Limited, which is listed on the Official List of the London Stock Exchange.

JZ Capital, which is managed by US-based Jordan/Zalaznick Advisers, invests in micro-cap buyouts, mezzanine investments (including high yield securities) and other debt and equity opportunities involving US-based businesses. 

The placing and open offer was extended to US shareholders on a private placement basis. The ordinary share issue raised 95.6 million pounds (AUD$ 290m) and the ZDP roll-over and issue effectively raised 44.6 million pounds (AUD$89m).

The Norton Rose LLP team included funds partner Ian Fox, assisted by Daniel Evans and Tim Page, advising on English law aspects of the transaction. Partner Tom Vita, assisted by Adriana Maestas, advised on US law aspects.
