Minters and KWM act on pharma deal

Minters and KWM act on pharma deal

The purchase of well known Australian pharmaceutical brands by an American industry giant was facilitated by Minter Ellison and King & Wood Mallesons.

Firms: Minter Ellison (Perrigo Company); King & Wood Mallesons (Aspen Pharmacare)

Deal: Aspen acquires a range of brands, including a range of vitamins and supplements under the Herron brand, from affiliates of Aspen Pharmacare

Value: US$51 million

Area: M&A

Key Players: Sydney-based corporate partner Leigh Brown (pictured) led the Minters team, alongside senior associate Tom Shon. A range of other lawyers from Minters were involved, including partners John Fairbairn, Rhys Guild and Nathan Deveson. Senior associate Emily Hawcroft, associate Jonathan Gill and special counsel Liz von Muenster were also involved. KWM M&A partner Ros Anderson led the global firm’s team

Deal Significance: Elan Pharma, a subsidiary of the New York-listed Perrigo, acquired the over-the-counter brands from affiliates of Aspen Pharmacare, which is Africa’s largest generic drug maker. The basket of products is thought to generate at least $20 million in revenue. “Minter Ellison was very pleased to work closely with Perrigo on this acquisition, which expands its retail offering in Australia and New Zealand, while also having potential for expansion throughout Asia,” said Leigh Brown.
