IP firms go public with legal advice

IP firms go public with legal advice

Nick Broome, MinterEllison

Two national firms advised on the IPO and ASX listing of QANTM Intellectual Property Limited, which owns IP firms Davies Collison Cave and FPA.

Firms: MinterEllison (QANTM and Davies Collison Cave); Russell Kennedy Lawyers (FPA Patent Attorneys)

Deal: QANTM Intellectual Property Limited completed an IPO and listed on the ASX.

Value: $146.7 million

Area: IPO

Key players: The MinterEllison team was led by partner Nick Broome (pictured) and included special counsel Sudharshan Senathirajah, Renee Doyle and Elissa Romanin, senior associates Michael Watts and Rory Jolley, and lawyers Daniel Walford, Jenna DeBrincat and Sarah Soon.

The team also received specialist input from partners James Hutton, Adrian Varrasso, Karl Blake, Justin Fahey and John Riley.

The Russell Kennedy team was led by principal Rohan Harris, with assistance from principal Libby Pallot, senior associate Adam Goldner and lawyer Laura Tan.

Deal significance: QANTM Intellectual Property Limited, the owner of Davies Collison Cave and FPA (formerly Freehills Patent Attorneys), completed its initial public offering and listed on the Australian Securities Exchange on 31 August.

Davies Collison Cave is one of the largest patent and trade mark attorney firms in Australia, with a history that can be traced back to 1879.

FPA is a separate business from global firm Herbert Smith Freehills but the two entities enjoy a "longstanding cooperative relationship", according to MinterEllison.

The two IP firms provide services in relation to the creation, protection, commercialisation, enforcement and management of IP rights to Australian and international clients.

The IPO raised $146.7 million, bringing QANTM’s market capitalisation on its ASX debut to approximately $295 million.

As part of the listing, the Davies Collison Cave and FPA partnerships completed a complex restructure.
