Two advised on $145m listing of shares fund

One firm has advised two companies in the listing of the Forager Australian Shares Fund.

Firm: MinterEllison (Forager Funds Management and Perpetual)

Deal: Forager Funds Management has listed the Forager Australian Shares Fund on the Australian Securities Exchange (ASX).

MinterEllison assisted Forager through two unit-holder meetings, a change of responsible entity from fund host to Perpetual, the restructuring of the fund into a listed investment trust structure and the listing of the fund on ASX.

Value: $145 million

Area: IPO, finance

Key players: The MinterEllison team was led by partner Stuart Johnson, with assistance from special counsel Ker Wei Tiam, senior associate Tze Ting Liew and lawyer Pooja Anantha.

Deal significance: The Forager Australian Shares Fund commenced trading on Friday, 16 December 2016.

Forager Funds Management is a boutique fund manager, managing international and Australian funds on behalf of long-term investors.

Perpetual is an independent and diversified financial services group providing specialised investment management, wealth advice and corporate trustee services.

"We thoroughly enjoyed working on this innovative structure,” said MinterEllison partner Stuart Johnson.

“Forager is a unique Australian asset management company with an exclusive focus on long-term investing. Perpetual is a leading responsible entity of listed investment trusts.

“It is fantastic to work alongside these two prestigious organisations.”
