Gilbert + Tobin has advised Arrow Energy Limited (AOE) on the approximate $3.5 billion sale of AOE to CS CSG (Australia) Pty Limited, a consortium comprising Royal Dutch Shell and PetroChina.

G+T also advised on the demerger and listing on the ASX of Dart Energy Limited, which holds AOE's international coal seam gas assets and a limited number of Australian assets.

Corporate M&A partners Gary Lawler and Gary Besson led the transaction and advised on the corporate aspects, and capital markets specialist Janine Ryan led and advised on the placement undertaken by Dart in conjunction with its listing on the ASX.

Corporate partner Marko Komadina, technology partner Bernadette Jew, litigation and dispute resolution partner Colleen Platford and a number of key lawyers across the firm, including Grant Lawler, Michael Gajic, Melinda Sanders and Ashley Rose, also played an important role in the matter.

"There is significant interest, including from major Australian and overseas companies in coal seam gas resources, particularly in the eastern Australia states. The Arrow transaction may act as a catalyst for industry consolidation and further M&A activity in this area," said Besson.

"Capital raisings undertaken in conjunction with a demerger are fairly uncommon, so we were pleased to work with Dart Energy to implement a successful placement," added Ryan.
