Allens Arthur Robinson has advised Brambles on Australian law issues in connection with a transaction that will enable the company to expand its reusable plastic container operations worldwide and strengthen its pallet operations in the USA.

Brambles is a global provider of pallet and container pooling services, as well as information management services.

Under the proposed transaction, announced on 15 November, Brambles intends to purchase Germany's IFCO Systems (a provider of reusable plastic containers to the food supply chain worldwide and of pallet management services in the USA) from London-based buyout firm Apax Partners for €923 million ($1.27 billion).

Brambles will fund the transaction with a mix of debt and equity and the deal is subject to merger clearance approval in the USA and certain European countries, which is expected to complete within nine months.

Allens partner Vijay Cugati led the Allens team which acted as legal adviser on corporate and banking aspects of the transaction.

Other members of the Allens team were Guy Alexander, Diccon Loxton, Robert Speed, Eve Regnard, Nick Church, Maya Greenberg, Tom Payten, Amy Cashman and Charles Ashton.
