The successful candidate will be required to assume the statutory position(s) of company secretary of clients or act in a consultancy capacity (depending on Company Matters’ terms of engagement on a case-by-case basis).

Your success will stem from prior experience working within a Company Secretarial team, with Boards and senior executives of ASX listed companies, your ability to partner with our clients and work closely with the team and other advisers and regulators in a collaborative way that results in the best outcomes for our clients. 

You will:

  • Provide technically correct, practical and commercial advice in relation to the Corporations Act, the ASX Listing Rules and general governance advice and market practice
  • Attend Board and Committee meetings
  • Attend to annual reporting requirements, drafting notices of meetings and managing member meetings
  • Corporate action project management
  • Where appropriate, provide leadership and mentoring to members of the Company Matters’ team
  • Manage workflow commensurate with new business functions within Company Matters and the broader Link Group

The Ideal Candidate

  • Minimum 12+ years’ experience in an ASX listed company secretarial or legal/finance role and/or a top tier law firm
  • Excellent technical skills in working with the ASX Listing Rules (especially with continuous disclosure matters) and the Corporations Act
  • Ability to prioritise, work well under pressure and exercise independent judgment
  • Meticulous attention to detail
  • Ability to interact with a number of stakeholders, including Directors and senior management
  • Demonstrate commitment to delivering results through drive and effective teamwork
  • Ability to work both independently and within a team


Established in 2006, Company Matters is the largest team of governance professionals in Australia. 

In 2018, we:

  • Assisted over 400 clients, from S&P/ASX 20 entities to small caps, joint ventures and not for profits, across a range of capacities from statutory Company Secretary, independent governance consultant, external counsel, Chief Financial Officer and Director
  • Attended over 1,200 Board and Committee Meetings, predominantly for ASX listed entities
  • Attended over 65 members’ meetings, were involved with more than 11 secondary capital raisings, and prepared over 70 notices of members’ meetings
  • Released over 1,500 ASX announcements
  • Supported a number of clients in navigating their first year as listed entities
  • Undertook several secondments for S&P/ASX 50 clients
  • Conducted a number of Board Performance Evaluations and governance reviews and worked closely with the Directors to enhance Board performance and provide technical and practical improvement plans
  • Travelled to Board meetings in every Australian State and Territory and all over the world, including to London, Doha, Port Moresby, Singapore and New Zealand
  • Increased our team in size by over 25%, expanding our ability to work with more clients and organisations
