Vocus Group finalises $3.5bn acquisition
Allens has advised Vocus Group on its acquisition for 100 per cent of its share capital by way of scheme of arrangement.

Deal: Vocus Group has been advised on its acquisition for 100 per cent of its share capital. Macquarie Infrastructure and Real Assets (MIRA) and Aware Super comprised the consortium that agreed to the take-private transaction for Vocus Group.
Value: $3.5 billion.

Key players: Allens corporate partners Guy Alexander and Mark Malinas led the Allens team on the acquisition. The pair were supported by several key individuals across multiple practice areas.
Representing the M&A team on the deal were managing associate Hannah Biggins, special counsel Gadi Bloch, associates Vincent Pang, Elise Blume and Dana Harding, lawyer Erica Tan and law graduate Lana Yang.
FIRB partner Wendy Rae also provided assistance, as did banking and finance partner David Couper, technology media and telecommunications partner Michael Park, tax partner Tim Power and tax senior associate Jay Prasad.
Representing the team advising on the court process elements were partner Kim Reid, senior associate Tom Kavanagh, lawyer Nicholas Michalakas and law graduate Olivia Morris.
Deal significance: As per a statement provided by Allens, Vocus Group owns and operates 30,000 kilometres of fibre network that is purpose-built and managed for business and government.
“The acquisition was approved by Vocus shareholders and the Supreme Court of New South Wales this week. It is expected to close on 22 July 2021,” the firm said.
Commenting on the transaction, Allens co-lead partner Mr Malinas said: “We congratulate Vocus Group and its Board on this significant milestone. Take-privates are never straightforward, and we are honoured to have advised Vocus on this transaction.”
