Firms: King & Wood Mallesons (Lion), Freehills (Little World Beverages)

Deal: Acquisition of Little World Beverages by scheme of arrangement

Area: M&A

Value: $381.6 million

Key players: The KWM team included M&A partner Meredith Paynter (pictured), supported by senior associate Marisha Steinberg, solicitor Mark Vanderneut and law graduate Rosie Thomas.  Partner Sharon Henrick, supported by solicitor Tina Zhuo, provided competition advice. Partner Judy Sullivan, supported by senior associate Justin Rossetto, provided tax advice and special counsel. Malcolm Brennan advised on FIRB aspects of the deal.

Deal significance: Under the scheme, Lion will offer $5.30 per share to acquire the remaining shares it doesn’t already own in the Perth-based craft brewing company.

“If approved, this significant purchase will expand Lion’s footprint in the boutique beer market and strengthen its alcoholic beverage portfolio,” said Paynter.

Implementation of the transaction is subject to shareholder, court and regulatory approvals and the satisfaction of other customary conditions and is expected to be completed in October 2012.
