Mallesons, Freehills, act on Lion's bite of Little World

King & Wood Mallesons and Freehills are legal advisers on beverage and food manufacturer Lion’s proposed $381.6m acquisition of Little World Beverages.

King & Wood Mallesons and Freehills are legal advisers on beverage and food manufacturer Lion’s proposed $381.6 million acquisition of Little World Beverages.

Under the scheme of arrangement, Lion will offer $5.30 per share to acquire the remaining shares in the Perth-based craft brewing company it doesn’t already own.

Freehills advised Little World Beverages.

The King & Wood Mallesons team includes M&A partner Meredith Paynter, supported by senior associate Marisha Steinberg, solicitor Mark Vanderneut and law graduate Rosie Thomas. 

Partner Sharon Henrick, supported by solicitor Tina Zhuo, has provided competition advice.  Partner Judy Sullivan, supported by senior associate Justin Rossetto, provided tax advice and special counsel Malcolm Brennan advised on FIRB aspects of the deal.

Implementation of the transaction is subject to shareholder, court and regulatory approvals and the satisfaction of other customary conditions, and is expected to be completed in October 2012.

 

Meredith Paynter said: “If approved, this significant purchase will expand Lion’s footprint in the boutique beer market and strengthen its alcoholic beverage portfolio.”
