Duncan Cotterill worked alongside Gibson Dunn & Crutcher LLP (London office) to advise Credit Market Analysis Ltd on the sale of its fully issued share capital to CME Group.

 
 

The international nature of the transaction required a multi-disciplinary team of specialists in New Zealand, the UK and the US. Duncan Cotterill managed the process through seconding Oliver Roberts to CMA in London and providing overnight support from New Zealand to the London legal team.

The Duncan Cotterill team was led by Oliver Roberts, an Associate, who remains dual qualified in New Zealand and England and Wales. He joined Duncan Cotterill in 2006 following an M&A career based in London.

Roberts said the transaction presented legal challenges in dealing with a large number of shareholders and, therefore, followed a transaction structure more akin to a public takeover bid.

Duncan Cotterill began advising CMA in 2007, having taken over group company secretarial duties in February of that year. Duncan Cotterill will continue to advise CMA through its new owners CME Group to assist with the management of the post-closing process.
