Deal summary:

Mallesons is advising Microsoft on the Australian competition law aspects of a proposed internet search transaction. JWS is acting for Yahoo! Inc on the deal.

Under the terms of the agreement, which has a 10 year term, Microsoft will be the exclusive licensee of Yahoo!'s core search technologies, Microsoft's Bing will become the exclusive algorithmic search platform for Yahoo! sites, and Yahoo! will become the exclusive worldwide sales force for both companies' premium search advertisers.

Key players:

Mallesons partner Sharon Henrick (pictured), and solicitor Scott Nichols, have been advising Microsoft in its dealings with the ACCC.

The JWS team comprises partner Aldo Nicotra and senior associate Sar Katdare.

Commentary:

Yahoo! estimates that the agreement will provide a benefit to annual GAAP operating income of approximately US$500 million and capital expenditure savings of approximately US$200 million.
