Area: M&A

Key players: The Norton Rose Fulbright team was led by partner Ben Smits and senior associate Vianna Shing. They were supported by partners Elisa de Wit, Michael McKee and Bernard O’Shea, senior associates Jacqueline Plant, Stuart Robertson and associate Rohan Sridhar.

Deal significance: Sunrise Medical Group is a world leader in mobility vehicles. Its products, including manual and powered wheelchairs, mobility scooters, mobility aids and customized seating and positioning systems are sold in over 130 countries worldwide.

Australian family owned corporation Magic Mobility was established in 1994 and develops manual and powered customized wheelchair solutions for manoeuvrability and operates in Australia, the US, France, the UK, New Zealand, Switzerland and South Africa.

Norton Rose Fulbright advised Sunrise Medical on negotiating deal terms, conducting due diligence, drafting and negotiating transaction and executive service documents. The team also project managed the deal to exchange and completion, with acquisition complete effective 1 August.

Norton Rose Fulbright corporate partner Ben Smits said it was a delight to work with the Sunrise Medical team on this strategic acquisition to optimise production and distribution.

“With the rollout of National Disability Insurance Scheme in Australia, and with ground swells in other foreign jurisdictions aimed at improving the method of funding to this sector, it is expected that the volumes of medical device and power wheelchairs will vastly increase in demand.”

Sunrise Medical Group’s senior vice president of commercial operations Jim Barratt said the “opportunity of offering our customers greater possibilities in terms of power wheelchairs is at the heart of this acquisition.”

Though we have a broad range of market leading brands, the inclusion of the Magic Mobility portfolio, which is at the leading edge of outdoor, go-anywhere, all-terrain power wheelchairs, further enables people to enjoy their life and experience an enhanced choice of product capabilities,” he said.
