Baker & McKenzie was the primary adviser to Duke Energy on the largest M&A deal so far this year — Duke Energy’s sale of its Australasian assets. Bakers negotiated the entire process in the trade sale involving three gas pipelines, three gas fired power stations in Australia, and one gas fired power station in NZ. Up to 30 lawyers were involved, led by partners Chris Saxon, David Holland and John Balazs. Saxon said the sale process was a “standout compared with recent exits” as it was signed in less than five months.

 
 

Minter Ellison is acting as lead counsel to Swedish group Svenska Cellulosa Aktiebolaget SCA on its $890 million acquisition of the ‘tissues’ division of NZ forestry and wood products group Carter Holt Harvey. This is the second biggest announced deal in the region this year and brings under SCA’s global umbrella operations in Australia, New Zealand and Fiji — which make brands such as Sorbent, Purex and Handee. The legal team advising SCA includes partners from Minter Ellison in Australia (Jeremy Blackshaw, Tim Watkin and Carolyn Reynolds) and Minter Ellison Rudd Watts in NZ (Cathy Quinn, Harriet Blackburn and Julianne Sanders).

Pillsbury Winthrop represented Telesystem International Wireless Inc. in a combined treasury and secondary registered public offering of US$200 ($266.8) million of common shares in the US and Canada. Telesystem International Wireless Inc. provides wireless voice and data on GSM networks in Central and Eastern Europe. The transaction closed on 25 March.
