Deal: Baker McKenzie has advised IT consultancy service Crayon Group Holdings on its proposed acquisition of ASX-listed rhipe Limited, an Australian cloud software licensing business. The issued shares of Rhipe will be acquired at $2.50 per share, totalling $408 million in value.

Deal significance: The acquisition will be implemented by way of a scheme of arrangement, pursuant to which all of the issued shares of thipe will be acquired, minus any special dividends declared prior to implementation.
